Documented cause
La Nevera Roja built Spain leading food delivery marketplace on aggressive coupon and discount campaigns. Rocket Internet acquired it for ~80M EUR in 2015. Post-acquisition analysis revealed sales figures were heavily dependent on promotional spend — organic demand collapsed when promotions were removed. Sold by Rocket Internet to Just Eat as part of a 125M EUR distressed package in 2016. Operations eventually wound down.
Lesson
“Coupon-driven GMV is not demand. When an acquirer removes the promotional spend that was generating apparent growth, the underlying organic demand becomes visible — and it is almost always far smaller than reported metrics suggested. Pre-acquisition revenue quality audits must separate promotional from organic demand.”
